Corporate/Fundraising/Investment

Legal aspects of the group’s investments in climate impact projects: nature-based solutions, energy efficiency (Emissions Reductions Purchase Agreement, Shares Purchases Agreement, Shareholders’ Agreement, Convertible Bonds, Service Agreements etc.), in coordination with external advisors as the case may be.
Management of the corporate life of the group’s companies (legal secretariat, preparation of general meetings, formalities, updating of registers);
Follow-up of extraordinary operations (legal aspects related to the creation of companies, the issuance of equity securities or other securities, capital increases, amendments to the articles of association);
Legal aspects in the context of the group’s future fundraisings in its different investment strategies;

Contract

Drafting, review and management of contracts (NDAs, SPAs, SHAs, SHLs, consulting agreements, etc.) mainly in English and in French;
Management of the group’s contracts.

Compliance

Securing compliance of the business worldwide in partnership with the CFO (GDPR, compliance, KYC);

General

Coordination of legal advice, in France and abroad;
Legal support to the different teams, in France and abroad, on all legal issues encountered by the group;
Legal monitoring and drafting of legal memos.

Knowledge

Strong legal skills: you are graduated with a Master II in business or corporate law and already have at least 5 years of experience in a similar position, whether in a law firm or in-house;
Fluent both in French and English (written and spoken), ability to draft documents in English;
Perfect knowledge of Office Pack (Excel, PowerPoint, Word).

Know-how

Drafting and review: you understand the problem and deploy a solution that will have been validated by the team first;
Process information: be able to put him/herself in the counterparty’s shoes to provide information or amendments in a synthetic and clear way;
Provide information: ability to use legal databases, use hummingbirds corporate identity and graphic guide in all produced documents, know and respect hummingbird’s standards.

Social skills

Rigor and method showing a logical mind and practicing self-checking;
Adaptability and organization to juggle between the different missions and requests without being overwhelmed;
Reactivity and resourcefulness: managing unusual and urgent situations that may arise unexpectedly;
Financial knowledge and curiosity to work in natural capital and impact oriented environment, in different geographies and contexts.
